ORANGEBOX Command — Commercial Software License Agreement

THIS IS A COMMERCIAL SOFTWARE LICENSE. THIS IS NOT OPEN SOURCE.

1. GRANT.
   Subject to payment of the license fee and the buyer's continued compliance
   with this agreement, AtomEons Systems Laboratory grants the buyer a
   non-exclusive, non-transferable license to install and use one (1) copy of
   ORANGEBOX Command on one (1) operator's machine, for internal business or
   personal-operator use, in perpetuity for version 1.x.

2. SOURCE ACCESS.
   The buyer is provided with the source code of ORANGEBOX Command for the
   purpose of operator transparency, local modification, and integration with
   the buyer's own workflows. The source is NOT released under an open-source
   license. The buyer MAY modify the source for personal/internal use. The
   buyer MAY NOT redistribute, sublicense, publish, mirror to public
   repositories, or sell the source or any derivative work.

3. NUMBER OF INSTALLATIONS.
   One license = one operator install. Additional installations require
   additional licenses (each at the then-current price, currently $49).

4. UPDATES.
   ALL v1.x updates are included in the original license fee forever.
   Version 2.0+ may require a paid upgrade license (currently planned at
   $49 for existing v1.x buyers).

4A. ANTI-SUBSCRIPTION COMMITMENT.
   AtomEons Systems Laboratory commits in writing that ORANGEBOX Command
   will NEVER move to a recurring monthly or annual subscription billing
   model. If at any point AtomEons attempts to convert this software to
   a subscription model, every buyer who purchased a one-time license
   under this agreement retains their license active and free in
   perpetuity, with no payment owed. This commitment binds AtomEons and
   any successor entity acquiring the software.

5. PROHIBITED USES.
   The buyer may not:
   - redistribute the software in original or modified form
   - publish the source code or binaries to a public repository or mirror
   - rent, lease, or offer the software as a hosted service to third parties
   - remove or alter copyright notices
   - reverse-engineer for the purpose of competing reimplementation
   - use the software for any illegal purpose

6. WARRANTY DISCLAIMER.
   THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS
   OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY,
   FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT.

7. LIMITATION OF LIABILITY.
   IN NO EVENT SHALL THE AUTHORS OR COPYRIGHT HOLDERS BE LIABLE FOR ANY CLAIM,
   DAMAGES OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT OR
   OTHERWISE, ARISING FROM, OUT OF OR IN CONNECTION WITH THE SOFTWARE OR THE
   USE OR OTHER DEALINGS IN THE SOFTWARE.

   AtomEons' aggregate liability under this agreement, regardless of cause,
   is capped at the license fee paid by the buyer (currently $49 USD).

8. MATERIAL FAILURE GUARANTEE.
   If, within 30 days of purchase, the buyer demonstrates that ORANGEBOX
   Command fails to install or fails to launch its cockpit window on a clean
   x64 Windows 10 or Windows 11 machine with Node.js 20+ installed, AtomEons
   will either (a) deliver a working build within 14 days, or (b) refund the
   license fee in full. This guarantee replaces all implied warranties of
   merchantability.

   SUPPORTED PLATFORMS: This guarantee applies ONLY to x64 (64-bit) Windows
   10 and Windows 11 desktop installations. The following are NOT supported
   under this guarantee, and buyers on these platforms should request a
   Workflow-Fit Refund (§8A) instead:
     - ARM64 / ARM Windows (Snapdragon, Surface Pro X, etc.)
     - Windows 7, Windows 8, Windows 8.1
     - Windows Server (any edition)
     - Virtualized Windows guests (VMware, Parallels, VirtualBox, WSL)
     - Wine / CrossOver / other Windows compatibility layers

8A. WORKFLOW-FIT REFUND.
   Within 30 days of purchase, if the buyer determines that ORANGEBOX
   Command does not fit their workflow, the buyer may request a full
   refund by emailing a.mccree@gmail.com with subject line "ORANGEBOX
   refund request." No questions asked, no friction. This refund applies
   regardless of the reason — including simple buyer's remorse — and is
   in addition to the Material Failure Guarantee in section 8.

   REFUND MECHANISM: Refunds are issued via Stripe to the original payment
   method within five (5) business days of the refund request being
   received, less any payment-processor fees Stripe retains on the
   original transaction. After 30 days from the original purchase date,
   no refund is owed under this section.

9. THIRD-PARTY COMPONENTS.
   ORANGEBOX bundles or depends on:
   - Tauri (MIT/Apache-2.0)
   - tauri-plugin-opener (MIT/Apache-2.0)
   - @tauri-apps/cli (MIT/Apache-2.0)
   - Node.js (MIT) — buyer-installed runtime
   These components retain their original licenses. See docs/THIRD-PARTY.md.

10. TERMINATION.
    This license terminates automatically if the buyer materially breaches
    any term. Upon termination the buyer must uninstall and delete all copies.

11. GOVERNING LAW.
    This agreement is governed by the laws of the State of Florida, United
    States, without regard to its conflict-of-laws provisions.

13. PRIVACY.
    ORANGEBOX Command is local-first by design. The software collects,
    transmits, and stores ZERO operator data on AtomEons servers. There
    is no telemetry, no analytics service, and no phone-home of any kind.
    All project state, receipts, party-line messages, knowledge vault
    entries, API keys, and operator profiles remain on the buyer's
    machine in %APPDATA%\com.atomeons.orangebox.command\. AtomEons
    cannot read this data even if AtomEons wanted to.

    BUYER RESPONSIBILITY: The buyer is responsible for securing the
    machine on which ORANGEBOX is installed (full-disk encryption,
    physical access control, backups). AtomEons stores no buyer data
    on its own servers and cannot recover lost local data.

    If the buyer chooses to wire the cockpit to a third-party AI provider
    (Anthropic, OpenAI, Google, Ollama, etc.), the buyer's data flows
    directly to that provider under that provider's terms — AtomEons is
    not an intermediary.

    PAYMENT PROCESSING: When the buyer purchases ORANGEBOX, the payment
    flow is operated by a third-party payment processor (Lemon Squeezy
    as Merchant of Record for global sales, OR Stripe for direct US-only
    sales). The processor collects buyer name, email, billing address,
    and payment method — none of which are stored on AtomEons servers
    beyond order metadata needed for license delivery and refund support.

14. AI CONTENT DISCLAIMER.
    When the buyer connects ORANGEBOX to a third-party AI provider
    (Anthropic, OpenAI, Google, Ollama, or any other model), the
    cockpit displays content generated by that provider in response
    to the buyer's prompts. AtomEons is NOT the publisher, controller,
    author, or guarantor of any such content. The buyer assumes ALL
    responsibility and liability for:
      - the prompts the buyer authors;
      - the outputs the buyer chooses to act on;
      - the accuracy, legality, or fitness of any AI-generated material;
      - compliance with the third-party AI provider's terms of service.

15. SANCTIONS + EXPORT CONTROL.
    The buyer represents that the buyer is not, and is not acting on
    behalf of, any person or entity (a) located in, or organized under
    the laws of, any country or region subject to comprehensive U.S.
    sanctions (currently including Cuba, Iran, North Korea, Syria, and
    the Crimea/DNR/LNR regions of Ukraine, and the Russian Federation
    and Belarus to the extent applicable); or (b) identified on the
    U.S. Treasury Department's Specially Designated Nationals List or
    any equivalent sanctions list maintained by the European Union, the
    United Kingdom, or the United Nations. The buyer agrees not to
    export, re-export, or transfer the software in violation of any
    applicable export control law.

By installing or using ORANGEBOX Command, the buyer agrees to be bound by
this license.
